GENERAL TERMS OF SERVICE

These Terms of Service apply to all sales and transactions between Spearing Collectibles LLC (a Delaware limited liability company) and Spearing Events Pte. Limited (a Singapore private limited company), collectively referred to as the "Seller" or "the Company," and the customer to whom a quotation, order acknowledgment, or sale is addressed, referred to as the "Buyer" or "Customer."

All sales are subject to these Terms. Any purchase order or communication from the Buyer that includes additional or inconsistent terms will not bind the Seller unless explicitly accepted in writing by an authorised representative of the Seller. These Terms, together with the Seller's quotation, order acknowledgment, Shipping Policy, Return Policy, and (where applicable) Grading Terms of Service, form the entire agreement between the Buyer and the Seller and override all prior oral or written proposals.

GOVERNING LAW AND JURISDICTION

Sales transacted through Spearing Collectibles LLC are governed by the laws of the State of Delaware, United States, with exclusive jurisdiction in the courts of Delaware.

Sales transacted through Spearing Events Pte. Limited are governed by the laws of the Republic of Singapore, with exclusive jurisdiction in the courts of Singapore.

The Buyer consents to the jurisdiction of the applicable courts based on the contracting entity.

QUOTATIONS

Written quotations expire 30 days from the date of issue unless otherwise stated. Verbal quotations are valid only on the day they are given.

Quotations for singles, slabs, sealed products, and other inventory items are based on current market trends and may change daily due to fluctuations in demand, supply, currency rates, or recent comparable sales. Quotations are not guaranteed until payment is completed, and the Seller reserves the right to adjust prices at any time before payment is made.

For a quotation to be binding, it must specify the exact products, quantities, and prices.

KEY COMMERCIAL TERMS

When purchasing an item, the Buyer agrees that:

  • The Buyer is responsible for reading the full item listing, including product description, condition notes, and pricing, before committing to purchase;
  • The Buyer enters into a legally binding contract to purchase an item when the Buyer commits to buy and completes the checkout payment process;
  • The prices charged for services and products are listed on the Seller's website or in-store. The Seller reserves the right to change prices at any time and to correct pricing errors that may inadvertently occur;
  • Where there is any difference between online and in-store pricing or availability, the applicable price and availability are those in effect at the point of sale, as determined by Spearing Collectibles.

ACCEPTANCE OF ORDERS

The Seller recognises orders only upon issuance of a written order acknowledgment. To avoid delays, new Buyers should include credit information or references with their initial order or remit payment upfront. Transportation costs are not to be deducted from the selling price.

Item availability is only confirmed at the point of payment. Where an item has been sold before payment is completed, the Seller will notify the Buyer as soon as possible and assist in finding an alternative where available.

PROPRIETARY INFORMATION

All proprietary designs, know-how, trade secrets, and product information, including improvements, developments, and modifications ("Intellectual Property"), remain the property of the Seller. The Buyer has no right to use such Intellectual Property without the Seller's express written consent.

ACCOUNT SUSPENSION AND TERMINATION

The Seller may, on reasonable grounds, suspend or terminate the Buyer's access to its services where the Buyer:

  • Materially breaches these Terms;
  • Engages in conduct that is unlawful, abusive, fraudulent, or harmful to the Seller, its staff, or other customers;
  • Fails to pay outstanding sums after written reminders.

The Buyer may discontinue use of the services and request to cancel their account at any time. For automatically renewing subscriptions, cancellation takes effect at the end of the period for which payment has already been made.

CANCELLATION

Should the Buyer cancel an order, or should the Seller terminate performance due to the Buyer's failure to comply with these Terms, the following applies:

  • The Buyer shall be required to pay for products already delivered or in transit up to the cancellation date.
  • For special, custom, or made-to-order items (including grading submissions already lodged with the grading company), the Buyer remains liable for the full price, as such items cannot be resold.
  • For stock items, the Seller may, at its discretion, retain a reasonable amount (typically up to 25% of the order value) as liquidated damages to cover handling, restocking, and reasonable administrative costs.

For reserved items requiring a deposit, refer to the Reservations section below.

RESERVATIONS

Items may be reserved upon payment of a minimum 30% deposit. Once the deposit is received:

  • The item is reserved for the Buyer at the agreed price;
  • The reservation is valid for up to 3 days from the date of deposit;
  • The remaining balance must be paid in full within that window.

If the remaining balance is not received within the 3-day reservation period, the deposit will be forfeited and the item will be released back for sale.

DELAY

Shipping dates provided by the Seller are estimates only. Where the Buyer delays in providing information necessary for the Seller to proceed with an order, the estimated shipment date may be extended accordingly. The Seller is not liable for late shipments, save to the extent such liability cannot lawfully be excluded under applicable law.

Where the Buyer causes a delay in shipment, the Seller may invoice the Buyer and hold the products at the Buyer's risk, cost, and expense pending further instructions.

PAYMENT

All payments are due before shipment of orders unless otherwise agreed in writing by the Seller. Accepted payment methods include cash, PayNow, and credit card (credit card payments may incur additional fees).

In the event of a payment default, the Seller reserves the right to delay delivery or cancel the order, without prejudice to its other lawful remedies. The Seller may also ship orders and make collections by sight draft with the bill of lading attached, on a C.O.D. basis, or on such other terms as the Seller determines.

Past-due accounts may be charged a finance fee of 1.5% per month (annual percentage rate of 18%), to the extent permitted under applicable law. Where the Seller engages legal counsel to collect overdue amounts, the Buyer agrees to bear reasonable legal fees and disbursements.

TAXES AND OTHER CHARGES

The Buyer is responsible for all applicable taxes, duties, customs charges, inspection or testing fees, and other governmental fees imposed on any transaction between the Seller and the Buyer.

FREIGHT, TITLE, AND RISK OF LOSS

Unless otherwise specified in writing, all prices are quoted F.O.B. Seller's premises, with no freight allowed. Title to the products passes to the Buyer upon delivery to the appointed courier.

Insurance during shipping is arranged through the Seller's appointed courier (e.g. FedEx, DHL etc.). All liability for loss, damage, or delay during transit rests with the appointed courier under the courier's own terms and conditions, subject to applicable courier coverage limits. The Buyer is responsible for understanding applicable courier limits prior to purchase.

In the event of loss or damage in transit, the Seller will assist the Buyer in initiating a claim with the appointed courier on a courtesy basis. Refer to the Seller's Shipping Policy for full details.

ACCEPTANCE AND RETURN OF PRODUCTS

The Buyer is required to inspect all products upon receipt and to notify the Seller of any damage, discrepancies, or errors โ€” including incorrect item descriptions โ€” within seven (7) days of receipt.

Due to the nature of the Seller's products (singles, slabs, and sealed collectibles), all sales are generally considered final. Exchanges and refunds are not offered as standard, and will be considered on a case-by-case basis at Spearing Collectibles' sole discretion. The Seller's Return Policy governs any returns or exchanges.

WARRANTY

The Seller warrants that its products are of the type and quantity specified on the purchase order or invoice.

This warranty does not apply to any product that has been altered, used contrary to the Seller's instructions, subjected to misuse, improperly stored, or damaged by accident or negligence after delivery.

To the maximum extent permitted under applicable law, this warranty is made in lieu of all other warranties, express or implied, including any implied warranty of merchantability, satisfactory quality, or fitness for a particular purpose. Nothing in this clause shall exclude or limit any warranty or condition that cannot lawfully be excluded under Singapore law, or under the laws of Delaware (as applicable).

LIMITATION OF LIABILITY

Subject to applicable law, the Seller shall not be liable for any indirect, consequential, special, exemplary, or punitive loss, including loss of use, revenue, profit, opportunity, anticipated market value, or speculative future grade outcome.

The Seller's total aggregate liability for any direct loss or damage arising out of or in connection with the sale of products, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the lower of: (a) the price actually paid by the Buyer for the specific product giving rise to the claim; or (b) the documented fair market value of the affected product at the time of sale.

Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded under applicable law, including (under Singapore law) liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

FORCE MAJEURE

The Seller is not responsible for any failure or delay in performance arising from circumstances beyond its reasonable control, including acts of God, war, riot, embargoes, strikes, pandemic-related restrictions, disruptions to courier or grading company operations, or acts of civil or military authorities.

INDEMNIFICATION

The Buyer agrees to indemnify, defend, and hold harmless the Seller from any damages, losses, claims, suits, or reasonable expenses (including reasonable legal fees) arising out of or relating to: (a) any claims of personal injury or property damage caused by the Buyer's use, storage, or handling of the products; or (b) the Buyer's breach of these Terms or violation of any applicable law.

This indemnity does not extend to claims arising out of the Seller's gross negligence, wilful misconduct, or fraud.

INTERNATIONAL CUSTOMERS

The Seller is pleased to serve an international clientele and operates worldwide shipping in partnership with established couriers.

International shipping is offered on a case-by-case basis, depending on the destination, the items being shipped, and applicable courier and customs regulations. Stated shipping rates do not include customs clearance, brokerage charges, duties, or import taxes. These additional charges are the responsibility of the Buyer. Some countries have import restrictions or value declaration limits on trading cards โ€” the Seller will let you know during the enquiry if your destination is not currently serviceable.

TERMINATION AND SURVIVAL

Either party may terminate this agreement by providing written notice to the other party. Upon termination or expiration:

  • The Buyer shall pay for all products ordered and delivered up until the termination date.
  • Terms that by their nature are intended to survive โ€” including warranties, indemnification, limitation of liability, and governing law โ€” shall survive termination.

SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any remaining provisions.
