Grading Terms of Service

Indemnification

The Customer agrees to indemnify and hold harmless Spearing Collectibles and Spearing Events from claims, demands, liabilities, losses, damages, and reasonable costs (including reasonable legal fees) arising out of: (a) the Customer's breach of these Terms; (b) the Customer's violation of any applicable law or third-party right; or (c) the Customer's negligent acts or omissions in connection with the services. This indemnity does not extend to losses caused by the gross negligence, wilful misconduct, or fraud of Spearing Collectibles and Spearing Events, or to any liability that cannot lawfully be excluded under Singapore law.

Reviews and Feedback

Nothing in these Terms restricts the Customer's right to share truthful reviews, feedback, or opinions about the services received. The Customer agrees, however, not to publish statements that are knowingly false, misleading, or defamatory, and acknowledges that such statements may give rise to legal action under Singapore law.

Damage Claims with Grading and Shipping Companies

If it is deemed that PSA, Beckett, CGC, or any grading company sent to has caused damage to your card during the grading process, Spearing Collectibles and Spearing Events will help facilitate a damage claim on your behalf with the relevant grading or shipping company. Such initiation is not an admission of guilt or wrongdoing — it is offered to the Customer as a courtesy only and on a goodwill basis.

In facilitating any such claim, Spearing Collectibles and Spearing Events act solely as the Customer's third-party processor and facilitator. The submitted card(s) remain the property of the Customer at all times, and Spearing Collectibles and Spearing Events do not have authority to accept, reject, settle, or otherwise act upon any offer, counter-offer, or proposed resolution from the grading or shipping company without the Customer's prior written instruction. All proposals received from the grading or shipping company shall be relayed to the Customer in full.

The Customer shall provide written instructions within fourteen (14) days of being notified of any such proposal. Where the Customer fails to respond within this period despite reasonable reminders, Spearing Collectibles and Spearing Events may, at their reasonable discretion, defer further action until written instructions are received, or close the claim file and return the card(s) in their then-current state to the Customer. Spearing Collectibles and Spearing Events shall not be liable for any outcome resulting from the Customer's delayed response, non-response, or chosen course of action.

Any compensation, if applicable, shall be determined based on the assessment or resolution of the relevant grading or shipping company, using the same basis and justification. Spearing Collectibles and Spearing Events shall communicate the determination to the Customer in writing. The Customer acknowledges that Spearing Collectibles and Spearing Events have no power to compel the grading or shipping company to offer any specific amount.

Insurance and Coverage Handoff

The Customer acknowledges that insurance coverage during the grading process is provided by third parties, not by the Company. The Company arranges, but does not underwrite, insurance on the Customer's behalf at each stage of the process.

Shipping legs (to and from the grading company). The Company arranges insured shipping for the card(s) on the outbound leg from the Company's premises to the grading company, and on the return leg from the grading company back to the Company, through its appointed courier (e.g. FedEx, DHL etc.). All liability for loss, damage, or delay during these shipping legs rests with the appointed courier under the courier's own terms and conditions.

While in the grading company's custody. Once the card(s) are received and logged by the grading company (such as PSA, CGC, or BGS), coverage shifts to the declared value selected by the Customer on the grading company's submission form, subject entirely to the grading company's own terms, declared value limits, and claims policies. The Company is not the insurer during this period and has no authority over the grading company's insurance terms, declared value processes, or claim outcomes.

Claims process. In the event of loss or damage: (a) if the loss or damage occurs during a shipping leg, the claim shall be made against the appointed courier under the courier's own terms, and the Company will assist the Customer in initiating the claim as a courtesy; (b) if the loss or damage occurs while the card is in the grading company's custody, the claim shall be made against the grading company under its own terms, and the Company will assist in facilitating that claim on a goodwill basis as set out in the Damage Claims with Grading and Shipping Companies clause above.

No assumption of insurer liability by the Company. The Customer expressly acknowledges that the Company acts solely as a facilitator and arranger of third-party insurance and grading services. The Company does not underwrite, guarantee, or assume liability for any loss, damage, or claim outcome arising from the acts, omissions, or terms of the appointed courier or the grading company. The Company's liability in all cases is limited as set out in the Limitation of Liability clause of these Terms.

Turnaround Times

Turnaround times quoted for grading services (for example, 160 working days) reflect the time the card(s) are in the grading company's possession for grading only. They do not include: (a) the Company's handling time prior to and following grading; (b) insured shipping durations to or from the grading company; or (c) any administrative or processing time on either end. The countdown for turnaround time commences only once the submission is received and logged into the grading company's system, and concludes when the grades for the submitted card(s) are released and made viewable by the grading company.

The Customer acknowledges that all turnaround times are estimates only and are set by the grading company, not by the Company. Grading rates, service tiers, and turnaround times are subject to change by the grading company at any time without advance notice. The Company shall not be liable for any delay, change, or extension of turnaround times arising from the grading company's operations, backlog, internal processes, or external factors affecting the grading company's services.

Following the release of grades, the grading company will arrange for the card(s) to be returned to the Company. Return shipping times are separate from the grading turnaround and are subject to the appointed courier's schedules and conditions; any delay during this leg is the responsibility of the courier under its own terms. The Company will notify the Customer promptly upon the card(s)' return to the Company's premises.

Payment

Upfront payment is required. Accepted payment methods include cash, PayNow, and credit card (credit card payments may incur additional fees). Fees charged cover general cleaning, use of an approved semi-rigid holder, and to-and-fro insured shipping. Fees are not inclusive of any upcharges that may be incurred by the grading company — these upcharges will be invoiced separately and are payable directly to or through the Company on behalf of the grading company.

Once payment has been made and the submission is processed, card(s) may not be withdrawn, as they will have entered the grading company's system.

Should upfront payment not be possible, exceptions may be granted on a case-by-case basis at the reasonable discretion of the Company. In such cases, payment must be made online via PayNow within seven (7) days of the invoice date. The Customer acknowledges that all grading fees, upcharges, and related vendor costs are payable to the grading company (such as PSA, CGC, or BGS) and that the Company collects these amounts strictly as facilitator. Where payment remains outstanding after seven (7) days, the Company will issue a written reminder to the Customer's contact details on file. If payment remains outstanding for fourteen (14) days from the invoice date despite such reminder, the Company may, on giving a final seven (7) days' written notice, deem the submitted card(s) abandoned and handle them at the Company's discretion. The Customer is responsible for ensuring timely payment.

Pickup of Cards

Card(s) must be collected within fourteen (14) days of receiving the pickup notification. Where card(s) are not collected within this timeframe, the Company will issue written reminders to the Customer's contact details on file. The Customer is responsible for acknowledging such notifications and arranging collection.

If card(s) remain uncollected and the Customer has not acknowledged or responded to the Company's notifications for a period of six (6) months from the date of the original pickup notification, the card(s) shall be deemed abandoned. The Customer hereby agrees that all right, title, and interest in such abandoned card(s) shall pass to the Company, and the Company may handle the card(s) at its sole discretion. The Customer waives any claim, demand, or right of recovery in respect of card(s) deemed abandoned under this clause.

Exceptions may be granted on a case-by-case basis at the reasonable discretion of the Company.

Customer's Record of Card Condition

The Customer is responsible for recording and photographing the original condition of their card(s) before submission. Spearing Collectibles and Spearing Events are not responsible for verifying the original condition where no such record has been made. Customers are strongly encouraged to take clear, dated photographs of all sides and surfaces of each card prior to handover.

SERVICE DISCLAIMER:

Our pre-grading assessment is designed to provide the Customer with a second opinion on the card's condition. It is not a guarantee of any specific grade from a grading company.

Certain preparation work, such as deep cleaning or surface treatment, may not be suitable for grading. If the Customer decides to proceed with grading after such preparation, this is at the Customer's sole discretion, and Spearing Collectibles and Spearing Events cannot be held responsible for the results or decisions of the grading company.

If a card is found, by us or by a grading company, to have been altered in any way (for example, through colouring, waxing, polishing, or chemical treatment), the grading company may return it ungraded or label it as "Altered." In such cases, grading companies may still charge fees for the work performed. If we detect any alteration before submission, the entire batch of cards will be returned without processing.

LIMITATION OF LIABILITY:

Subject to applicable law, Spearing Collectibles and Spearing Events shall not be liable for any indirect, consequential, special, or punitive loss, including loss of profit, loss of opportunity, loss of anticipated market value, or loss of speculative future grade outcome.

The total aggregate liability of Spearing Collectibles and Spearing Events for any direct loss or damage arising out of or in connection with the services, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the lower of: (a) the fees actually paid by the Customer for the specific service that gave rise to the claim; or (b) the documented fair market value of the affected card(s) at the time of submission, as evidenced by recent comparable sales records provided by the Customer.

Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded under Singapore law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

You understand that your content (excluding credit card information) may be transferred unencrypted and may involve transmissions over various networks and changes to conform to technical requirements. Credit card information is always encrypted during transfer. SECTION 6 — ACCURACY OF BILLING AND ACCOUNT INFORMATION:

We reserve the right to refuse any order placed with us. We may, in our reasonable discretion, limit or cancel quantities purchased per person, household, or order. These restrictions may include orders placed by or under the same customer account, the same credit card, or the same billing or shipping address. Where we cancel or change an order, we will attempt to notify you using the contact information provided at the time of the order.

You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to promptly update your account information so that we can complete your transactions and contact you as needed.

SECTION 7 — OPTIONAL TOOLS:

We may provide you with access to third-party tools over which we have no control or input. You acknowledge that we provide access to such tools "as is" and "as available," without warranties of any kind. We shall have no liability arising from or relating to your use of such third-party tools. Any use of optional third-party tools is at your own risk and discretion, and you should ensure that you are familiar with and accept the terms on which they are provided.

Customers are required to inspect all items upon receipt and to notify us of any damage, discrepancies, or errors — including incorrect item descriptions — within five (5) days of informing of the item(s) ready for collection.

SECTION 14 — INDEMNIFICATION:

You agree to indemnify, defend, and hold harmless Spearing Collectibles and Spearing Events, our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable legal fees, made by any third party arising out of your breach of these Terms or your violation of any law or the rights of a third party. This indemnity does not extend to claims arising out of the gross negligence, willful misconduct, or fraud of Spearing Collectibles and Spearing Events.

SECTION 15 — SEVERABILITY:

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 — TERMINATION:

The obligations and liabilities of the parties incurred prior to the termination date shall survive termination of this agreement for all purposes. These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our services or when you cease using our site. If, in our reasonable judgment, you fail (or we suspect you have failed) to comply with any term of these Terms, we may terminate this agreement at any time without notice. You will remain liable for all amounts due up to and including the date of termination.

SECTION 17 — ENTIRE AGREEMENT:

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with any policies or operating rules posted by us, constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written. Any ambiguities in interpretation shall not be construed against the drafting party.

SECTION 18 — GOVERNING LAW AND JURISDICTION:

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Republic of Singapore. The parties irrevocably submit to the exclusive jurisdiction of the courts of Singapore to settle any dispute arising out of or in connection with these Terms, including disputes concerning their existence, validity, or termination.
